PURPOSE OF THE CLUB
1. ENHANCE THE VACATION EXPERIENCES OF CLUB MEMBERS BY USING THEIR TIMESHARE TO
BUY, SELL, RENT, EXCHANGE WITH OTHER TIMSESHARE MEMBERS.
2. EDUCATE CLUB MEMBERS BY PRESENTATIONS OF MEMBERS EXPERIENCES AND OUTSIDE
SPEAKERS
3. ESTABLISH AND MAINTAIN TIMESHARE SOFTWARE AND WEBSITE WHERE MEMBERS MAY LIST
THEIR TIMESHARES FOR A FEE (12 MONTH) SET BY CLUB OFFICERS.
ARTICLE I - MEMBERSHIP
Section 1. Membership. Any resident of the Villages shall be eligible for
membership in the Timeshare Club and
shall complete an application form.
Section 2. Dues. Annual Membership dues shall be set, from time to time by the
Club Officers. Dues are payable
when application for membership is submitted and shall become due for
renewal on January 1st of each year.
Section 3. Termination of Membership. A membership will be considered as lapsed
and automatically terminated
if such member's dues remain unpaid ninety days after becoming due. In no
case will a person be entitled to vote
whose dues are unpaid.
ARTICLE II- MEETINGS
Section 1. Membership Meetings. Membership meetings of the Villages Timeshare
Club (VTC) shall be at a place, date
and hour designated by the Club Officers. Written notice of the monthly
meeting shall be communicated to
each member at least one week prior to the meeting date. The Village Daily
Sun newspaper and VTC website are
acceptable as written notice. Membership meetings may be replaced by
special events. A quorum shall consist of
those members present.
ARTICLE III – CLUB OFFICERS
Club Officers Meetings. The Clubs Officers shall consist of the Officers and
Committee Chairpersons.
Meetings shall be held on a monthly basis. The time, date and location
shall be set by the Officers at its meeting the month prior.
Section 1. Officers. Terms of office shall be for one (1) year. Elections
shall normaly be held at the January meeting each year.
A. The President shall preside at all meetings of the
VTC and of the Board. He/she shall be an ex-officio
member of all committees of the VTC.
B. The Treas. shall have such duties as are assigned by
the Pres., which shall include:
a. Provide for the custody of the funds of the
VTC, and for the proper disbursement of such funds.
b. Provide for the collections and receipt of
monies earned in any manner by the VTC.
c. Prepare an accounting monthly and at any
time as requested by the Officers or the President.
d. Manage the Club’s financial business, using
such banks and accounts as are authorized or approved by the Pres. and Treas.
All such accounts shall be carried in the name of the VTC.
C. The Webmaster shall maintain and update the VTC timeshare program.
D. The Progam and Publicity Officer shall set the program for meetings,
notification of meetings, communication, and publicize the VTC and meetings.
E. The Membership Officer shall assist the Webmaster in maintaining the
timeshare software and database, greet new and perspective members and provide
application forms and information.
Section 4. Vacancies. Any vacancies occurring on the Club Officers, or among the
officers during the year
shall be filled by the appointment of the Pres. for the unexpired term of
office.
Section 5. Expenses. Appropriate expenses incurred by the Club officers or
members shall be reimbursed, if pre-approved by the Pres. or Treas.
ARTICLE IV-THE VTC YEAR; ELECTIONS AND NOMINATIONS
Section 1. Voting. Voting on all matters shall be limited to those members whose
dues are paid. Voting by proxy
shall not be permitted. Voting on amendments to the By-Laws shall be
decided by a show of hands of the general
membership. All other matters shall be voted on by those present at the monthly
meetings or at a special meeting
by a show of hands.
Section 2. Annual Election of Officers. The election of Officers shall be
conducted by a show of hands at the
January meeting and every succeeding January.
Section 3.
Nominations for officers shall be taken from the floor at the November meeting.
ARTICLE V-AMENDMENTS DUPLICATED FROM ART IV - Sect 1 above??????????
Section 1. Approval of Amendments. The By-Laws may be amended by a show of hands
at any time provided a copy of
the proposed amendment has been communicated to each member. The favorable vote
of two-thirds (2/3) of the members
present shall be required to implement any amendment.
ARTICLE VI -DISSOLUTION
Section 1. The VTC may be dissolved at any time. After payment of debts, the
VTC’s assets shall be given to
a charitable organization selected by the Club Officers.
